1. Definitions

• "Lanna Circuit" means Lanna Circuit Company Limited, registered in Thailand, with offices at 84 Charoennakorn Road, Thon Buri, Bangkok 10600.
• "User" means any individual or organisation accessing our website or engaging our services.
• "Service" means any consulting, training, or advisory program offered by Lanna Circuit.
• "Agreement" means these Terms & Conditions together with any engagement contract entered into by both parties.
• "Content" means all materials, deliverables, documentation, and resources produced or provided in connection with a Service.

2. Acceptance of Terms

By accessing our website or submitting an enquiry, you agree to be bound by these Terms & Conditions. If you are entering into these terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

Our services are intended for business professionals and organisations. Users must be at least 18 years of age and have the legal capacity to enter into binding agreements under Thai law.

3. Service Description

Lanna Circuit provides AI integration consulting and training services to businesses in Thailand, including AI Tools Orientation programs, AI-Powered Workflow Redesign consulting, and AI Leadership and Governance Advisory programs. Full descriptions are available on our Solutions page.

Services are delivered in Bangkok and surrounding areas, and remotely where agreed in the engagement contract. Availability is subject to scheduling and capacity.

4. User Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Ensure appropriate personnel are available for scheduled sessions and reviews
• Use deliverables only for your organisation's internal purposes
• Not reproduce or distribute Lanna Circuit materials without prior written consent
• Comply with all applicable Thai laws, including the PDPA, in your use of AI tools

5. Intellectual Property

All methodology frameworks, training materials, session structures, and proprietary processes used by Lanna Circuit remain the intellectual property of Lanna Circuit Company Limited.

Deliverables produced specifically for a client engagement — including implementation plans, process documentation, and governance policy documents — are transferred to the client upon full payment. The client receives a non-exclusive, perpetual licence to use, adapt, and maintain these materials for their own internal purposes.

Generic templates, frameworks, and methodologies underlying client deliverables remain the property of Lanna Circuit and may be used in other engagements.

6. Payment Terms

Pricing for all programs is quoted in Thai Baht (THB) and is inclusive of applicable taxes unless otherwise stated in the engagement contract. Payment terms are as follows:

• AI Tools Orientation (฿5,800): full payment due prior to the first session
• Workflow Redesign (฿24,000): 50% on engagement commencement, 50% on delivery of the implementation plan
• Governance Advisory (฿47,500): 40% on commencement, 40% at the end of month two, 20% on final document delivery

Accepted payment methods include bank transfer to a Thai bank account. Invoice details are provided upon engagement confirmation.

Cancellations: Cancellations made more than five business days before a scheduled session may receive a full credit toward rescheduling. Cancellations with less than five business days' notice may be subject to a cancellation fee of up to 30% of the session value.

7. Service-Specific Terms

The following additional terms apply to our advisory and consulting programs:

• Scope changes requested after program commencement may result in adjusted timelines or fees, agreed in writing before implementation
• Client delays that extend an engagement beyond the agreed timeline may affect deliverable scheduling; Lanna Circuit will communicate any impact promptly
• All client information shared during engagements is subject to our standard confidentiality agreement, signed separately
• The 60-day post-engagement review is included in the program fee and must be scheduled within 90 days of the program's conclusion

8. Disclaimers

Lanna Circuit's programs provide education, analysis, and advisory guidance. They do not constitute legal, financial, or regulatory advice. Clients are responsible for obtaining appropriate professional advice before implementing any changes to their operations or policies.

We do not warrant that the use of any AI tools discussed or recommended in our programs will produce specific operational or financial outcomes. Results depend on factors outside our control, including implementation decisions made by the client organisation.

Our website and materials are provided "as is" without warranties of any kind, express or implied, to the extent permitted by Thai law.

9. Limitation of Liability

To the maximum extent permitted by applicable Thai law, Lanna Circuit's total liability to any client for any claim arising from a service engagement shall not exceed the total fees paid by the client for the specific program to which the claim relates.

Lanna Circuit shall not be liable for indirect, consequential, or incidental losses, including lost profits or business interruption, arising from the use of our services or reliance on our recommendations.

10. Indemnification

You agree to indemnify and hold harmless Lanna Circuit and its personnel from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of any deliverable, or any violation of applicable law in connection with your use of our services.

11. Termination

Either party may terminate an engagement by providing written notice. In the event of termination:

• Fees for work completed to the point of termination are due and payable
• Lanna Circuit will deliver any completed work product to the client upon receipt of payment for completed portions
• Confidentiality obligations survive termination and remain in effect for three years after the engagement end date

12. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to attempt informal resolution through direct communication within 30 days of the dispute arising.

If informal resolution is unsuccessful, disputes shall be subject to the jurisdiction of the courts of Bangkok, Thailand. The parties waive any objection to Bangkok as an appropriate venue.

13. General Provisions

These Terms constitute the entire agreement between the parties regarding website use, supplemented by any written engagement contract for service delivery. If any provision is found to be unenforceable, the remaining provisions continue in full effect. Failure to enforce any provision does not constitute a waiver of future rights. These Terms may not be assigned by the User without Lanna Circuit's prior written consent.

14. Changes to These Terms

We may update these Terms periodically. The updated date at the top of this page will reflect any changes. Continued use of our website after changes are posted constitutes acceptance. For active engagement clients, material changes will be communicated by email with reasonable notice.
